License Agreement

This License Agreement explains the terms under which you may access and use NextPost Pro, available at https://nextpost.pro.

By purchasing, subscribing to, accessing, installing, downloading, or using NextPost Pro, you agree to this License Agreement. If you do not agree to this License Agreement, you must not use NextPost Pro.

1. Definitions

For the purposes of this License Agreement:

“NextPost Pro” means the SaaS platform, software, modules, tools, documentation, updates, features, private-access components, beta features, and related digital services provided through https://nextpost.pro.

“User”, “you”, or “your” means any individual, company, organization, agency, developer, contractor, or other entity that accesses, purchases, subscribes to, or uses NextPost Pro.

“We”, “us”, or “our” means the owner and operator of NextPost Pro.

“License” means the limited right granted to you to access and use NextPost Pro under this License Agreement.

“Subscription” means paid recurring access to NextPost Pro for a selected billing period.

“Module” means any feature, add-on, extension, integration, automation tool, analytics tool, proxy-related tool, private component, or additional functionality provided as part of or in connection with NextPost Pro.

“Third-Party Platform” means any external website, application, social network, API, hosting provider, proxy provider, payment processor, account provider, or other service not owned or controlled by us.

2. License Grant

Subject to your compliance with this License Agreement and payment of all applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use NextPost Pro during your active subscription or license period.

This License is provided only for your own internal business or personal use, depending on your selected plan.

This License does not transfer ownership of NextPost Pro to you. All rights not expressly granted to you are reserved by us.

3. License Scope

Your right to use NextPost Pro is limited by the plan, subscription, package, or commercial agreement you purchased.

Your plan may include limits related to:

• number of users or seats;
• number of connected accounts;
• number of projects, campaigns, automations, or tasks;
• number of installations or domains;
• access to specific modules;
• API usage or request limits;
• support level;
• update access;
• private or beta feature access;
• commercial usage rights.

You must not exceed the limits of your plan unless you purchase an upgrade or receive written permission from us.

4. Account Registration and Security

To use NextPost Pro, you may need to create an account and provide accurate registration, billing, and contact information.

You are responsible for:

• keeping your login credentials secure;
• maintaining the security of your server, hosting, browser, device, proxies, connected accounts, API keys, tokens, cookies, and sessions;
• all activity that occurs under your account;
• ensuring that your employees, contractors, clients, or representatives comply with this License Agreement;
• notifying us immediately if you suspect unauthorized access to your account or license.

We are not responsible for losses, restrictions, account issues, data loss, or damages caused by compromised credentials, insecure systems, third-party breaches, or unauthorized access not caused by us.

5. Subscription, Fees, and Payment

You agree to pay all fees associated with your selected plan, subscription, module, add-on, setup service, private access, or custom service.

Unless stated otherwise at checkout:

• subscriptions are billed in advance;
• subscriptions renew automatically at the end of each billing period;
• payment is charged to the payment method you provide;
• cancellation stops future renewals;
• cancellation does not automatically create a refund for the current billing period;
• access may be suspended or terminated if payment fails.

All payments are subject to our Refund Policy.

You are responsible for any taxes, duties, payment processing fees, currency conversion fees, bank fees, or other charges associated with your purchase.

6. Renewals and Cancellation

If you purchase a subscription, it will automatically renew unless you cancel it before the next renewal date.

You may cancel your subscription through your account, payment portal, or by contacting us at [email protected].

Cancellation prevents future billing but does not refund previous payments unless required by law or expressly provided in our Refund Policy.

After cancellation, your access will usually remain active until the end of the already-paid billing period, unless your account is suspended or terminated for violation of this License Agreement.

7. Updates, Changes, and Availability

We may update, improve, modify, replace, suspend, limit, or discontinue any part of NextPost Pro at any time.

This may include changes to:

• features;
• modules;
• user interface;
• technical infrastructure;
• integrations;
• third-party platform compatibility;
• usage limits;
• pricing;
• documentation;
• support availability;
• beta or private-access functionality.

We may make such changes for technical, legal, security, product, commercial, compliance, or third-party platform-related reasons.

We do not guarantee that any specific feature, module, integration, or workflow will remain available indefinitely.

8. Beta, Private Access, and Experimental Features

Some features of NextPost Pro may be offered as beta, private-access, early-access, experimental, unreleased, or testing functionality.

Such features may:

• be incomplete;
• contain bugs or errors;
• change at any time;
• be removed without prior notice;
• depend on third-party platform behavior;
• require additional configuration;
• not be suitable for production use;
• not be covered by standard support.

You use beta, private-access, early-access, and experimental features at your own risk.

9. Acceptable Use

You agree to use NextPost Pro only for lawful purposes and in accordance with this License Agreement, applicable laws, and the rules of any third-party platforms you use with NextPost Pro.

You must not use NextPost Pro to:

• send spam or unsolicited messages;
• conduct phishing, fraud, impersonation, or deceptive activity;
• create, distribute, or assist with malware or harmful code;
• bypass access controls, security systems, authentication systems, rate limits, or anti-abuse protections;
• scrape, collect, store, process, or misuse personal data unlawfully;
• perform unauthorized mass actions;
• manipulate engagement, metrics, rankings, reviews, reach, or platform systems in violation of applicable rules;
• violate intellectual property rights or privacy rights;
• harass, threaten, abuse, exploit, or harm any person or organization;
• violate sanctions, export controls, or applicable regulations;
• interfere with or disrupt NextPost Pro, our infrastructure, or third-party services;
• use NextPost Pro in a way that may create legal, technical, security, compliance, reputational, or abuse-related risk.

We may suspend or terminate access if we believe your use of NextPost Pro violates this License Agreement or creates risk for us, other users, third-party platforms, or our infrastructure.

10. Third-Party Platforms

NextPost Pro may interact with, connect to, support, automate, or depend on third-party platforms, including social networks, APIs, proxy providers, hosting providers, account providers, payment processors, analytics tools, or other external services.

You acknowledge and agree that:

• we do not own or control third-party platforms;
• third-party platforms may change their APIs, rules, limits, algorithms, interfaces, enforcement policies, or technical systems at any time;
• third-party platforms may restrict, suspend, ban, checkpoint, shadow-limit, rate-limit, or otherwise affect your accounts;
• features that work today may become limited, unavailable, unsafe, deprecated, or unsupported in the future;
• we do not guarantee compatibility with any third-party platform indefinitely.

You are solely responsible for reviewing and complying with the terms, policies, and rules of any third-party platform you use with NextPost Pro.

11. No Guarantee of Results

NextPost Pro is a software tool. We do not guarantee any specific results, outcomes, or performance.

We do not guarantee:

• follower growth;
• engagement growth;
• reach, views, impressions, or conversions;
• revenue, sales, or business results;
• account safety;
• account recovery;
• uninterrupted operation;
• successful automation;
• avoidance of platform warnings, checkpoints, bans, limits, restrictions, or reduced reach;
• compatibility with every server, proxy, browser, device, account, or configuration.

Any examples, demonstrations, documentation, statistics, case studies, or performance references are provided for informational purposes only and do not guarantee your results.

12. Customer Content and Data

You retain ownership of the content, accounts, settings, campaigns, media, text, data, credentials, and other materials you upload, connect, submit, or process through NextPost Pro.

You grant us a limited right to process such content and data only as necessary to:

• provide NextPost Pro;
• operate the platform;
• deliver support;
• troubleshoot technical issues;
• prevent abuse;
• improve security and reliability;
• comply with legal obligations.

You represent and warrant that you have all rights, permissions, and legal authority necessary to use your content, data, credentials, accounts, and connected services with NextPost Pro.

You are solely responsible for the legality, accuracy, safety, compliance, and reliability of your content, data, accounts, and connected services.

13. Credentials, Tokens, Cookies, Proxies, and Connected Accounts

If NextPost Pro allows you to connect or use third-party accounts, credentials, tokens, cookies, sessions, proxies, API keys, or similar access data, you are responsible for ensuring that you have lawful authority to use them.

You must not connect, upload, use, sell, distribute, or process accounts, credentials, tokens, cookies, proxies, or data that you do not own or are not authorized to use.

We are not responsible for any loss, suspension, restriction, ban, deletion, compromise, or damage related to third-party accounts, credentials, tokens, cookies, proxies, sessions, or connected services.

14. Restrictions

You must not, directly or indirectly:

• copy, modify, adapt, translate, or create derivative works based on NextPost Pro;
• reverse engineer, decompile, disassemble, or attempt to derive the source code, architecture, algorithms, or internal logic of NextPost Pro, except where expressly permitted by applicable law;
• remove copyright, trademark, license, or proprietary notices;
• sell, resell, rent, lease, sublicense, distribute, publish, transfer, or share your license or account without written permission;
• provide unauthorized access to third parties;
• use NextPost Pro to build or improve a competing product or service;
• benchmark, test, monitor, or analyze NextPost Pro for competitive purposes without written permission;
• bypass license checks, usage limits, access controls, payment controls, technical restrictions, or security systems;
• use cracked, nulled, leaked, stolen, copied, or unauthorized versions of NextPost Pro;
• overload, scan, probe, attack, disrupt, or interfere with our infrastructure;
• use NextPost Pro after your subscription, license, or access has expired, been suspended, or been terminated.

15. Intellectual Property

NextPost Pro, including its software, source code, object code, design, interface, architecture, workflows, modules, documentation, text, graphics, logos, trademarks, branding, business logic, know-how, and related materials, is owned by us or our licensors.

You receive only the limited license described in this License Agreement.

You do not receive any ownership rights, intellectual property rights, or other rights in NextPost Pro, except as expressly stated in this License Agreement.

You may not use our name, logo, brand, screenshots, interface, or product materials for marketing, resale, public claims, or promotional purposes without our written permission.

16. Feedback

If you provide feedback, ideas, suggestions, feature requests, bug reports, or recommendations regarding NextPost Pro, you grant us the right to use them without restriction, payment, attribution, or obligation to you.

We may use feedback to improve, modify, develop, market, or commercialize NextPost Pro or related products and services.

17. Support

Support may be provided according to your selected plan, subscription, package, or separate written agreement.

Support may include:

• installation guidance;
• troubleshooting;
• documentation;
• bug investigation;
• compatibility guidance;
• configuration advice;
• general usage assistance.

Unless expressly agreed in writing, support does not include:

• custom development;
• server administration;
• recovery of banned, restricted, or disabled third-party accounts;
• guaranteed compatibility with all environments;
• training your team;
• fixing issues caused by your custom modifications;
• fixing issues caused by unsupported servers, proxies, browsers, devices, or configurations;
• fixing issues caused by third-party platform changes;
• emergency support outside the support level included in your plan.

We may refuse or limit support if your account is unpaid, suspended, abusive, using unauthorized copies, or violating this License Agreement.

18. Custom Development, Setup, and Private Modules

Any custom development, private module, installation, setup, configuration, consulting, server work, migration, design work, or integration service is subject to this License Agreement and any additional written agreement between you and us.

Unless expressly agreed otherwise:

• custom work is not refundable once started;
• delivery timelines are estimates and not guarantees;
• scope changes may require additional payment;
• custom work may depend on third-party systems outside our control;
• we retain ownership of reusable code, frameworks, modules, internal tools, technical methods, workflows, concepts, and know-how developed or used during the work.

A custom feature created for you does not automatically grant you exclusive ownership unless exclusivity is expressly agreed in writing.

19. Suspension and Termination

We may suspend or terminate your access to NextPost Pro immediately if:

• you fail to pay applicable fees;
• you violate this License Agreement;
• you violate our Refund Policy or other applicable policies;
• you misuse NextPost Pro;
• your activity creates legal, security, technical, abuse, compliance, or reputational risk;
• you initiate fraudulent chargebacks or payment disputes;
• you share, resell, distribute, or provide unauthorized access;
• you use NextPost Pro for prohibited or unlawful purposes;
• we are required to do so by law, court order, payment processor, hosting provider, third-party platform, or authority;
• continued service becomes commercially, legally, or technically impractical.

Upon suspension or termination:

• your license ends or is paused immediately;
• you must stop using NextPost Pro;
• access to the platform, modules, updates, support, and private features may be disabled;
• unpaid fees remain due;
• no refund is owed unless required by law or provided in our Refund Policy.

20. Effects of Termination

After termination, we may delete, disable, restrict, or retain your account data according to our internal policies, legal obligations, security requirements, and Privacy Policy.

You are responsible for exporting or backing up any data you need before termination or cancellation, where export functionality is available.

We are not responsible for loss of data after your access ends, except where required by applicable law.

21. Disclaimer of Warranties

To the maximum extent permitted by law, NextPost Pro is provided on an “as is” and “as available” basis.

We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, security, compatibility, and uninterrupted operation.

We do not warrant that:

• NextPost Pro will be error-free;
• all bugs will be fixed;
• the service will be uninterrupted or always available;
• the product will work with every server, proxy, browser, device, account, platform, or configuration;
• third-party platforms will continue to support any functionality;
• your accounts will remain safe, active, unrestricted, or approved;
• the product will meet your expectations, goals, or business needs.

22. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including:

• loss of profits;
• loss of revenue;
• loss of business;
• loss of data;
• loss of goodwill;
• account bans, restrictions, checkpoints, or reduced reach;
• platform penalties;
• reputational harm;
• cost of replacement services;
• interruption of operations;
• third-party claims;
• server, proxy, hosting, or third-party service failures.

To the maximum extent permitted by law, our total liability for any claim related to NextPost Pro will not exceed the amount you paid to us for the product or service giving rise to the claim during the three months immediately preceding the event giving rise to liability.

Some jurisdictions do not allow certain limitations of liability. In such cases, our liability will be limited to the maximum extent permitted by law.

23. Indemnification

You agree to defend, indemnify, and hold us harmless from and against any claims, damages, losses, liabilities, costs, and expenses arising from or related to:

• your use or misuse of NextPost Pro;
• your violation of this License Agreement;
• your violation of applicable law;
• your violation of third-party platform rules;
• your content, data, credentials, proxies, accounts, or connected services;
• your unauthorized resale, distribution, sharing, or transfer of access;
• claims made by your clients, users, employees, contractors, partners, or third parties;
• your negligence, misconduct, or unlawful activity.

24. Privacy and Data Protection

Your use of NextPost Pro may involve the processing of personal data.

You are responsible for ensuring that your use of NextPost Pro complies with applicable privacy and data protection laws, including any requirements related to notice, consent, lawful basis, data minimization, retention, security, and user rights.

Our handling of personal data may be described in a separate Privacy Policy.

If a Data Processing Agreement is required, it must be agreed in writing.

25. Export Control and Sanctions

You may not use, export, re-export, sell, transfer, or provide access to NextPost Pro in violation of applicable export control, sanctions, or trade compliance laws.

You represent that you are not prohibited from using NextPost Pro under applicable sanctions, export control, or trade restriction laws.

26. Assignment

You may not assign, transfer, sublicense, or delegate your rights or obligations under this License Agreement without our prior written consent.

We may assign or transfer this License Agreement in connection with a merger, acquisition, restructuring, sale of assets, change of control, or transfer of business operations.

27. Changes to This License Agreement

We may update this License Agreement from time to time. The updated version will be posted on this page with a revised “Last Updated” date.

Your continued use of NextPost Pro after the updated License Agreement becomes effective means you accept the updated terms.

If you do not agree to the updated License Agreement, you must stop using NextPost Pro and cancel your subscription.

28. Governing Law and Dispute Resolution

Before starting any formal legal claim, both parties agree to attempt to resolve the dispute informally by contacting each other in writing and allowing at least 30 days for good-faith negotiation.

Any dispute arising out of or relating to this License Agreement will be resolved in the courts, unless applicable law requires another venue or dispute process.

29. Mandatory Consumer Rights

Nothing in this License Agreement limits or excludes any rights that cannot be limited or excluded under applicable consumer protection laws.

If you are a consumer in a jurisdiction that grants mandatory rights related to digital content, digital services, refunds, withdrawal, cancellation, remedies, or unfair contract terms, those rights remain unaffected.

30. Entire Agreement

This License Agreement, together with our Refund Policy, Privacy Policy, order form, checkout terms, and any separate written agreement between you and us, constitutes the entire agreement between you and us regarding NextPost Pro.

If any provision of this License Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
